Acceptance of Terms

By accessing our website at expo-scale.org or our Shopify storefront, purchasing any product or service, or joining our community, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not use our website or purchase our services. Your continued use of our services following any update to these Terms constitutes acceptance of the revised Terms.

About Exposcale

Exposcale Agency LLP is a limited liability partnership registered in England and Wales, with its registered office at 27 Old Gloucester Street, London WC1N 3AX, United Kingdom.

We provide ecommerce education products, agency advertising accounts across Meta, TikTok, and Google platforms, community memberships, media buying services, and 1:1 business mentorship to ecommerce operators worldwide.

Our Services

Exposcale offers the following services, each subject to these Terms and any additional service-specific terms communicated at point of sale:

• X/OS Digital Toolkit — a one-time purchase digital product containing templates, spreadsheets, and resources for Meta advertising operators
• Scale Circle Community — a paid monthly membership providing access to a private Discord community, live Q&A sessions, ad account reviews, and product research calls
• Starter Blueprint — a free-tier community membership
• Agency Ad Accounts — access to agency-level advertising accounts on Meta, TikTok, and Google with higher spending limits and reduced restrictions
• Media Buying — a done-for-you paid advertising management service
• 1:1 Mentorship — a structured 12-week private mentorship programme

Eligibility

You must be at least 18 years old to purchase or use any of our services. By using our services, you represent and warrant that you meet this age requirement.

Our services are intended for ecommerce operators and business owners. You represent that your intended use of our services is for lawful business purposes only.

We reserve the right to refuse service to anyone for any reason at our sole discretion, including where we believe a purchase may be fraudulent, abusive, or in violation of these Terms.

Digital Products (X/OS Toolkit)

The X/OS toolkit is a digital product delivered electronically upon purchase via our third-party platform provider (currently Fanbasis). Delivery is instant upon payment confirmation.

Licence: Upon purchase, we grant you a personal, non-exclusive, non-transferable, non-sublicensable licence to use the X/OS toolkit for your own business purposes. You may not:

• Resell, redistribute, or share the product with any third party
• Use the product to create a competing product or service
• Remove or alter any branding, copyright notices, or proprietary markings
• Share login credentials or access links with others who have not purchased

The licence is granted to the purchasing individual or business entity and may not be transferred. Violation of these licence terms may result in immediate revocation of access without refund.

Community Membership

The Scale Circle community membership is a recurring subscription billed monthly at €99/month (or the applicable rate at the time of purchase). The Starter Blueprint is available at no cost.

Access: Community access is provided via Whop and Discord. You are responsible for maintaining the security of your account credentials. You may not share your account access with others.

Community conduct: As a member, you agree to:

• Treat all community members and staff with respect
• Not spam, harass, or engage in abusive behaviour
• Not share other members' private information without their consent
• Not promote competing products or services without prior written consent from Exposcale
• Not record, screenshot, or redistribute paid community content outside the community
• Comply with the community rules posted within the Discord server

We reserve the right to remove any member from the community at any time for violation of these Terms or community rules, without refund of any fees paid.

Cancellation: You may cancel your membership at any time through your Whop account. Cancellation takes effect at the end of the current billing cycle. No partial refunds are issued for unused time within a billing period.

Agency Ad Accounts

Agency ad accounts are subject to their own service agreement communicated at the time of onboarding via WhatsApp. The following core terms apply to all ad account clients:

• Permitted use: Ad accounts are provided solely for lawful advertising of legitimate ecommerce products. You must comply with the advertising policies of Meta, TikTok, and Google at all times
• Prohibited use: Ad accounts must not be used to promote prohibited products, deceptive content, adult content, gambling, counterfeit goods, or any content that violates platform policies
• Account integrity: You are responsible for all advertising activity conducted through your account. Exposcale is not liable for ad account suspensions resulting from your policy violations
• Fees: Setup fees, monthly management fees, and percentage-of-spend fees apply as communicated during onboarding. All fees are non-refundable once services have been initiated
• Top-ups: Ad credit top-ups are non-refundable once transferred to the advertising platform
• Termination: We may terminate ad account access immediately if your usage violates platform policies, these Terms, or poses a risk to our agency account infrastructure

Media Buying Services

Media buying services are subject to a minimum monthly ad spend of €10,000 and a separate service agreement. The following terms apply:

• Services are delivered on a retainer basis with terms communicated at onboarding via Calendly application
• You grant Exposcale access to your advertising accounts and grant us authority to run, pause, and optimise campaigns on your behalf
• You remain responsible for ensuring your products, landing pages, and offers comply with applicable laws and platform policies
• Exposcale does not guarantee specific ROAS targets, revenue outcomes, or campaign results. Advertising performance depends on market conditions, creative quality, offer strength, and other factors outside our control
• All ad spend is handled by you directly; Exposcale does not hold or manage client advertising budgets on its own accounts unless specifically agreed in writing
• Either party may terminate the media buying engagement with 30 days' written notice. Retainer fees paid are non-refundable for the period in which services have been initiated

Mentorship Programme

The 1:1 mentorship programme is a 12-week engagement priced at €12,000 (one-time payment), subject to an application and acceptance process.

• Acceptance is at Exposcale's sole discretion. Payment of a deposit or fee does not guarantee acceptance into the programme
• The programme is personal to the accepted applicant and may not be transferred to another individual or business
• Session scheduling is agreed mutually. Missed sessions with less than 24 hours' notice may be forfeited at our discretion
• Exposcale does not guarantee specific business outcomes or revenue results from participation in the mentorship programme
• The €12,000 programme fee is non-refundable once the programme has commenced. In exceptional circumstances, refund requests made before the first session may be considered at our sole discretion

Payments & Billing

All prices are displayed in the applicable currency at the time of purchase (USD, EUR, or GBP depending on the product). Prices are exclusive of applicable taxes unless stated otherwise.

• Payments are processed by third-party providers including Stripe, PayPal, Fanbasis, and Whop. By making a payment, you agree to their respective terms and payment policies
• Recurring subscription fees (community membership) are billed automatically on the anniversary of your subscription start date
• Failed payments may result in immediate suspension of service access
• You are responsible for ensuring your payment details remain current and valid
• Chargebacks or payment disputes raised with your bank without first contacting us may result in permanent termination of your account and all associated services

Refund Policy

Our refund policy varies by service:

• X/OS Toolkit (digital product) — all sales are final. No refunds are offered for digital products due to their instant-delivery nature
• Scale Circle Community (monthly subscription) — no refunds for fees already billed. You may cancel at any time to stop future billing
• Agency Ad Accounts — setup fees and monthly management fees are non-refundable. Ad credit top-ups transferred to advertising platforms are non-refundable
• Media Buying Retainer — retainer fees for the current period are non-refundable once services have been initiated
• Mentorship Programme — the full programme fee is non-refundable once the programme has commenced

If you believe you have been charged in error, contact us within 7 days of the charge and we will investigate. We will honour our obligations under applicable consumer protection law.

Intellectual Property

All content on our website and within our products — including but not limited to text, graphics, templates, spreadsheets, prompt packs, SOPs, swipe files, course materials, and branding — is the intellectual property of Exposcale Agency LLP or its licensors and is protected by copyright and other applicable laws.

Your purchase of any Exposcale product grants you a personal licence as described in the relevant section above. It does not transfer ownership of any intellectual property.

You may not copy, modify, distribute, sell, sublicence, or create derivative works from any Exposcale content without our prior written consent. Unauthorised use may result in legal action.

If you believe any content on our site infringes your intellectual property rights, please contact us with details and we will investigate promptly.

Prohibited Conduct

When using our website or services, you must not:

• Use our services for any unlawful purpose or in violation of any applicable law or regulation
• Advertise or promote illegal products, services, or activities through any ad accounts we provide
• Attempt to gain unauthorised access to our systems, accounts, or infrastructure
• Reverse engineer, decompile, or attempt to extract source code from any of our digital products
• Impersonate Exposcale, our team members, or any other person or entity
• Introduce malware, viruses, or harmful code into our systems
• Use automated tools to scrape, harvest, or extract data from our website
• Engage in any conduct that damages, disrupts, or interferes with the services of other clients
• Make false or misleading claims about our products or services
• Redistribute or resell access to products or services purchased under a personal licence

Violation of any prohibited conduct provision may result in immediate termination of your account and all associated services without refund, and we reserve the right to pursue legal remedies.

Disclaimers

Our website and services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Exposcale disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

No income or results guarantee. Exposcale provides educational content, tools, infrastructure, and strategic services. We do not guarantee any specific business result, revenue outcome, ROAS, or return on investment from using our products or services. Results depend entirely on your own effort, execution, market conditions, and factors outside our control.

Any case studies, testimonials, or earnings examples shared by Exposcale or its members are illustrative of what is possible and are not representative of average or typical results. Past performance does not guarantee future results.

We do not guarantee that our website will be uninterrupted, error-free, or free from security vulnerabilities. We are not responsible for any losses resulting from downtime, data breaches, or technical failures of third-party platforms we use.

Limitation of Liability

To the fullest extent permitted by applicable law, Exposcale Agency LLP and its partners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business
• Loss of data or advertising campaigns
• Ad account suspensions or bans by Meta, TikTok, or Google
• Loss of opportunity or goodwill
• Any other indirect or consequential loss

Our total aggregate liability to you in connection with any claim arising under or in connection with these Terms, whether in contract, tort, or otherwise, shall not exceed the total fees paid by you to Exposcale in the 3 months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

Indemnification

You agree to indemnify, defend, and hold harmless Exposcale Agency LLP and its partners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms
• Your use of our services in breach of applicable laws or third-party platform policies
• Any content you advertise or promote using agency ad accounts we provide
• Your infringement of any third-party intellectual property or other rights
• Any misrepresentation you make to Exposcale or third parties in connection with our services

Termination

We reserve the right to terminate or suspend your access to any or all of our services at any time, with or without notice, for any reason including but not limited to:

• Violation of these Terms or any service-specific agreement
• Non-payment of fees
• Fraudulent, abusive, or illegal conduct
• Conduct that poses a risk to our business, infrastructure, or other clients

Upon termination, your licence to use any Exposcale digital products is revoked. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

You may also terminate your relationship with us at any time by cancelling any active subscriptions and ceasing to use our services. Outstanding fees remain due upon termination.

Governing Law & Disputes

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation, except where applicable consumer protection law grants you the right to bring a claim in the courts of your country of residence.

Before commencing any legal proceedings, you agree to first contact us in good faith to attempt to resolve the dispute informally. We will try to respond to all complaints within 14 days.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. For significant changes affecting paid services, we will make reasonable efforts to notify active clients directly.

Your continued use of our services after changes are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using our services and cancel any active subscriptions.
